What are the services of a company secretary?

Apart from acting as a bridge between your company and the government departments, the company secretary will help your company to fulfill the statutory requirements for general company affairs, such as change of directors and shareholders, increase of share capital, renewal of registered address, and so on.

Is the Significant Controllers Register (SCR) mandatory?

Yes. The new requirement for companies to maintain a register of significant controllers (SCR) came into effect on March 1, 2018. Significant controllers of a company include "registrable persons", i.e., natural persons and others who directly hold more than 25% of the company's issued shares.

Who can be my company secretary?

The company secretary can be an individual or a company, but must have a Hong Kong address and also be familiar with the statutory requirements of the Companies Registry, and the company secretarial service provider needs to hold the relevant license (TCSP).

Can the registered capital of a Hong Kong limited company be increased/decreased?

It is possible to increase the capital; however, reducing the capital involves shareholders' and creditors' rights and interests, so the procedure is more complicated and may be subject to a court ruling.

What to do if there is a change in ownership?

Your company secretary will help you to prepare the share sale and purchase instrument for signature by both the buyer and seller, and submit it together with other necessary documents to the Inland Revenue Department for processing and payment of stamp duty.
