Decide your company name

A Hong Kong limited company usually has an English name accompanied by a Chinese name. The last word of an English company name of a limited company must be “Limited”. It is advisable to avoid names that are similar to those well known enterprises or popular brands.

Preparation of Directors' Shareholders' Information

Directors and shareholders of a Hong Kong company are separate entities. You can be a shareholder of a company, or you can be a director of a company at the same time. Or two different natural persons can be shareholders and directors. There is no nationality requirement for shareholders and directors of Hong Kong limited companies.

As a shareholder or director, you are required to provide a valid identity card and proof of recent address.

Appointment of company secretaries

All Hong Kong companies are required to have a company secretary. The company secretary informs the government of changes in the structure and management mode of the company, maintains company records, and files statutory documents in a timely and accurate manner to avoid penalties.

Register your company

Why should I register in Hong Kong?

Hong Kong is a great place to do business: there are no restrictions on foreigners, taxes are stable and low (profits tax is 8.25% for the first HK$2 million of profit and 16.5% thereafter), and the registration process is quick and easy and can be done remotely. There are many well-established companies and smart start-ups, plenty of capital and airplane flights.

What is an Annual Return?

The annual return is an annual filing by every Hong Kong limited company to the Companies Registry of the company's registered address, shareholders, share capital, directors and company secretary.

Do I need a business address?

A company address is required. All companies registered in Hong Kong need to be registered with a local address. This address will be used for all government and legal documents. If you do not have a company address, you can use our company registered address service.

Do I need a company secretary?

All Hong Kong companies must have a local company secretary. The company secretary will be responsible for ensuring that all documents are in order and that all changes to the company are made correctly, on time and in accordance with local laws. The company secretary can be an individual or a business (corporate body).

How long does it take to set up a company?

Once all the documents are ready, we can normally complete the company registration within 24 hours at the earliest. The application time depends on the availability of all the required documents and information and may be affected by the opening hours of the relevant government departments.

What is a "Trust or Company Service Provider (TCSP) license"?

Under the Anti-Money Laundering and Counter-Terrorist Financing Ordinance (AMLO), any person, other than authorized accounting and legal professionals, who carries on a trust or company service business in Hong Kong is required to be licensed as a "Trust or Company Service Provider (TCSP)". The licensing regime for TCSPs is administered by the Hong Kong Companies Registry.

Shenzhen
